Article 7:913 Dutch Civil Code, Book 7

Paragraph 1

The prospective franchisee provides the franchisor in good time with information about its financial position, in so far as this is reasonably relevant to the conclusion of the franchise agreement.

Paragraph 2

The franchisor provides the prospective franchisee in good time with:

1. the draft franchise agreement, including annexes;

2. an account of the content and purport of provisions concerning fees, mark-ups or other financial contributions to be paid by the franchisee or concerning the investments required of the franchisee;

3. information about:

   1. the manner in which and the frequency with which consultation between the franchisor and the franchisees takes place, as well as, if there is one, the contact details of the representative body of the franchisees;

   2. the extent to which and the manner in which the franchisor, whether or not through a derived formula, may compete with the franchisee; and

   3. the extent to which, the frequency with which and the manner in which the franchisee may access turnover-related data that concern the franchisee or are relevant to its business operations.

Paragraph 3

In addition, the franchisor provides the prospective franchisee in good time with the following information, in so far as it is available to the franchisor, to a subsidiary as referred to in Article 24a of Book 2, or to a group company affiliated with the franchisor as referred to in Article 24b of Book 2, and is reasonably relevant to the conclusion of the franchise agreement:

1. information about its financial position; and

2. financial data relating to the intended location of the franchise business or, failing that, financial data of one or more businesses considered comparable by the franchisor, in which case the franchisor makes clear on what grounds it considers them comparable.

Paragraph 4

The franchisor provides the prospective franchisee with all other information which it knows or can reasonably suspect is relevant to the conclusion of the franchise agreement.
